This Disclaimer and Accuracy Notice ("Disclaimer") governs your access to and use of the Klypse platform and related products and services (the "Service"), operated by [Klypse Ltd] ("Klypse", "we", "us" or "our") and made available at klypse-uhnw.com. It applies to all output, data, profiles, scores, signals and other material that the Service provides about ultra-high-net-worth individuals ("Principals") and their interests (together, the "Intelligence"), including any output of our AI assistant.
This Disclaimer should be read together with our Terms of Service, our Privacy Policy and our Acceptable Use Policy. Where this Disclaimer and the Terms of Service address the same subject matter, the Terms of Service prevail. By accessing or using the Service, you confirm that you have read and understood this Disclaimer.
1. Nature of the Intelligence
The Service is a business-to-business private-markets intelligence and access platform. The Intelligence provides information on Principals, which may include identity details, estimated wealth and holdings, corporate interests, networks and relationships, compliance signals and suggested approach strategies.
The Intelligence is compiled from third-party public and licensed sources. It is then structured, enriched and verified by us on a reasonable-efforts basis. The Intelligence is provided for professional use, as decision support for your own assessment and judgement. It is not a substitute for your own enquiries, due diligence or professional advice.
2. No warranty of accuracy or completeness
The Intelligence is point-in-time. It reflects sources and analysis available to us at the time of compilation, and it may become out of date. Wealth and holdings figures, in particular, are estimates and approximations, not verified or audited statements of a Principal's actual assets, liabilities or net worth.
Despite our verification efforts, the Intelligence may be incomplete or may contain errors or omissions. To the fullest extent permitted by law, the Service and the Intelligence are provided "as is" and "as available", and we give no representation, warranty, condition or guarantee of any kind, whether express or implied, as to the accuracy, completeness, currency, reliability or fitness for any particular purpose of the Intelligence.
3. Not professional advice
Klypse is a software and information provider. We are not a financial adviser, investment adviser, broker, tax adviser, accountant or law firm, and we are not authorised or regulated to provide, and do not provide, any regulated advice.
Nothing in the Service or the Intelligence constitutes or should be construed as financial, investment, legal, tax or accounting advice, or a recommendation, solicitation or offer to buy, sell or deal in any security, investment or other financial product. No fiduciary, advisory, agency or other special relationship is created between you and Klypse by your use of the Service. You must obtain your own independent professional advice before taking, or refraining from taking, any action on the basis of the Intelligence.
4. No reliance and independent verification
You are responsible for independently verifying the Intelligence before relying on it. This is especially important before taking any material step, including any investment, transaction, financial decision, commercial commitment or outreach to or in respect of a Principal.
You should not rely on the Intelligence as the sole basis for any decision. You assume full responsibility for any decision you make, and any action you take or omit to take, in connection with the Intelligence.
5. Estimates, forward-looking and scenario content
Some content within the Service is illustrative analysis. This includes estimates, modelled figures, and scenario or "predict" style views that explore possible situations or outcomes.
Such content is clearly labelled as analysis or scenario material where it appears. It is illustrative only. It is not a prediction, forecast, assurance or guarantee of any future event, outcome, valuation or behaviour, and it should not be relied upon as a statement of fact about future events. Actual events and outcomes may differ materially from any scenario or estimate presented.
6. Third-party sources and content
The Intelligence draws on third-party public and licensed sources, and the Service may contain links or references to third-party websites, materials and content. We do not control, endorse, adopt or assume responsibility for any third-party source, website or content, including its accuracy, completeness, legality or availability. Any links or references are provided for convenience only, and your use of any third-party source or content is at your own risk and subject to that third party's own terms.
7. AI-generated outputs
The Service includes an AI assistant that generates outputs based on the Intelligence and on your queries. AI-generated outputs can be inaccurate, incomplete, outdated, biased or misleading, and may present incorrect information in a confident or plausible manner.
You should treat all AI-generated outputs as decision support to be independently verified, and not as statements of fact, professional advice or a recommendation. The cautions in this Disclaimer, including the need for independent verification in section 4, apply in full to AI-generated outputs.
8. Responsible and lawful use
The Intelligence concerns real, identifiable individuals. You must access and use the Intelligence lawfully, ethically and in accordance with all applicable laws, including data protection, privacy, anti-discrimination, anti-harassment, financial promotion, anti-bribery and sanctions laws. Your use of the Service and the Intelligence is subject to our Acceptable Use Policy, which sets out prohibited and restricted uses in further detail.
9. Limitation of liability
To the fullest extent permitted by law, Klypse, together with its officers, employees, agents and suppliers, accepts no liability for any loss or damage of any kind arising out of or in connection with your access to, use of, or reliance on the Service or the Intelligence, or any inaccuracy, error or omission in the Intelligence. This includes, without limitation, any direct, indirect, special, incidental, consequential or punitive loss, and any loss of profit, revenue, business, opportunity, goodwill or data, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, and whether or not foreseeable.
This section is subject to, and must be read together with, the limitation and exclusion of liability provisions in our Terms of Service.
Nothing in this Disclaimer excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
10. Governing law and US users
This Disclaimer, and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with it or its subject matter, is governed by and construed in accordance with the law of England and Wales, and is subject to the jurisdiction provisions of our Terms of Service.
Note for users in the United States: the Service is not directed at providing United States regulated investment advice, and nothing in the Service or the Intelligence should be construed as investment advice or a recommendation under the laws of the United States or any of its states, or as an offer or solicitation in respect of any security. You should consult your own appropriately qualified and licensed United States professional advisers before acting on the Intelligence.
