Acceptable Use Policy

1. Purpose and scope

This Acceptable Use Policy (the "Policy") governs access to and use of the Klypse platform, services and intelligence (together, the "Service" or "Platform"). It forms part of, and is incorporated into, the Klypse Terms of Service (the "Terms"). Where a term is defined in the Terms and used here, it has the same meaning.

In this Policy: "Klypse", "we", "us" and "our" mean the entity providing the Service; "Customer" and "you" mean the firm that has entered into the Terms with us; "Authorised User" means an individual whom the Customer permits to access the Service under its account; "Principal" means an ultra-high-net-worth individual about whom the Service compiles information; and "Intelligence" means the data, analysis, profiles, outputs and other materials made available through the Service, including outputs of the AI assistant.

This Policy binds the Customer and every Authorised User. The Customer is responsible for ensuring that each of its Authorised Users has read, understood and complies with this Policy, and the Customer remains responsible for all activity conducted under its account and credentials.

Breach of this Policy is a breach of the Terms. We may respond to any actual or suspected breach in accordance with the Terms and this Policy, including by issuing warnings, restricting functionality, suspending access (in whole or in part) and terminating the Customer's access to the Service, in each case without limiting any other right or remedy available to us.

2. Permitted use

The Service is provided solely for legitimate professional business purposes carried out by the Customer's organisation. Permitted purposes include:

business development and origination;
investor relations and investor outreach;
fundraising and capital formation;
recruitment, executive search and talent mapping;
market mapping and sector research; and
due diligence and know-your-client or counterparty assessment.

Use of the Service is limited to the Customer's own internal business use by its Authorised Users, within the scope of the licence and the number of seats set out in the Terms or the applicable order. Any use of the Service, or of the Intelligence, for personal, consumer or non-professional purposes, or for the benefit of any third party except as expressly permitted in the Terms, is prohibited.

3. Responsible use of Intelligence about Principals

The Service provides Intelligence about real individuals. This section sets firm and non-negotiable rules. The Customer and each Authorised User must:

Use Intelligence lawfully, fairly and proportionately. The Intelligence may be used only for the permitted professional purposes in section 2, in a manner that is lawful, fair, proportionate to that purpose, and consistent with the reasonable expectations of the Principal.

Never use Intelligence to cause harm. You must not use the Service or the Intelligence to harass, intimidate, stalk, threaten, defraud, coerce, blackmail, discriminate against, defame, or otherwise cause harm or distress to any Principal or to any member of a Principal's family or household. This prohibition applies regardless of the channel through which any such conduct might be carried out.

Never conduct unlawful surveillance or unlawful profiling. You must not use the Intelligence for surveillance, monitoring, tracking or location of any individual in any manner that is unlawful, nor to build, enrich or maintain profiles of individuals for any unlawful purpose.

Comply with data-protection law as an independent controller. The Customer acknowledges that, in respect of its own downstream collection and use of personal data obtained through the Service, the Customer acts as an independent controller and is solely responsible for that processing. The Customer must comply with all applicable data-protection law, including (where applicable) the UK General Data Protection Regulation and the Data Protection Act 2018. This includes, where and to the extent required by applicable law: establishing a valid lawful basis for the Customer's processing; providing privacy information to the relevant individuals; honouring objections, erasure requests and other data-subject rights; and maintaining appropriate records and safeguards. Nothing in the Service relieves the Customer of these obligations.

Respect data we have deliberately minimised. Klypse applies data-minimisation by design. The Service provides location information only at city or regional level and does not provide street or residential addresses, and the Service does not include data relating to children. You must not attempt to re-identify, derive, reconstruct, enrich, append or otherwise obtain information that Klypse has deliberately excluded or minimised, including residential or street-level addresses and any information concerning children, whether by combining the Intelligence with other sources, by inference, by technical means, or otherwise.

4. Prohibited activities

In addition to the rules in section 3, the Customer and each Authorised User must not, and must not permit or enable any other person to:

engage in any unlawful, fraudulent, deceptive or otherwise wrongful activity through or in connection with the Service;
infringe or misappropriate any intellectual property right, privacy right, confidentiality obligation, or other right of Klypse or any third party;
scrape, crawl, spider, harvest, bulk-extract, or systematically download or store the Intelligence or any part of the Service, whether manually or by any automated or scripted means, except through functionality we expressly provide for that purpose;
reverse engineer, decompile, disassemble, or otherwise attempt to derive, access or discover the source code, models, structures, methodologies, or underlying data of the Service, except to the extent this restriction is prohibited by applicable law;
resell, redistribute, sublicense, rent, lease, lend, publish, broadcast, or otherwise make available the Intelligence or access to the Service to any third party;
use the Intelligence or the Service to create, train, develop, benchmark, or improve any product, model, dataset or service that competes with the Service, or to assist any third party to do so;
circumvent, disable, or attempt to defeat any access control, authentication, rate limit, usage limit, watermark, or security or technical measure of the Service;
introduce, transmit, or facilitate any virus, worm, malware, or other harmful or malicious code;
probe, scan, penetration-test, load-test, or otherwise test the vulnerability of the Service or its infrastructure without our prior written consent;
share, transfer, or disclose account credentials, allow access by any person who is not an authorised Authorised User, or exceed the number of licensed seats; or
misrepresent your identity, your employer, your authority, or your affiliation, whether to Klypse, to a Principal, or to any third party, in connection with the Service or the Intelligence.

5. AI assistant use

The Service includes an AI assistant. When using it, the Customer and each Authorised User must not:

submit prompts or instructions designed or intended to extract, infer, or reconstruct information that is restricted, excluded or minimised under this Policy (including residential addresses or information about children);
attempt to jailbreak, manipulate, circumvent, or otherwise misuse the assistant or its safeguards, or use it for any purpose prohibited by this Policy;
rely on the assistant's outputs without independent verification, the outputs being generated by an automated system that may be incomplete or inaccurate; or
use the assistant's outputs to make, or as the sole basis for, any decision producing legal or similarly significant effects on an individual where doing so would be unlawful, including any solely automated decision-making that does not meet the requirements of applicable data-protection law.

6. Security obligations

The Customer and each Authorised User must:

keep all account credentials and authentication factors confidential and secure, and not share or reuse them;
maintain appropriate technical and organisational measures to protect access to the Service from unauthorised use;
notify us promptly at [abuse@klypse-uhnw.com] on becoming aware of any actual or suspected unauthorised access to, or use of, the Service or any account; and
report any suspected security vulnerability in the Service responsibly and promptly to [security@klypse-uhnw.com], and not disclose it publicly or to any third party before we have had a reasonable opportunity to investigate and remediate it.

No security testing, scanning, or probing of the Service may be carried out without our prior written consent. Any consented testing must be conducted strictly within the scope and terms that we authorise in writing.

7. Monitoring and enforcement

We may monitor use of the Service, including access logs, query patterns and usage volumes, to operate, secure and improve the Service and to verify compliance with this Policy and the Terms. We may investigate any activity that we reasonably suspect breaches this Policy or the Terms, or that may be unlawful or harmful.

Where we identify an actual or suspected breach, or where we consider it necessary to protect the Service, a Principal, Klypse or any third party, we may take any action we consider appropriate, including issuing warnings, removing or restricting access to content or functionality, throttling usage, and suspending or terminating access to the Service, in accordance with the Terms. Where lawfully required to do so, or where appropriate to prevent or address unlawful activity, we may cooperate with law enforcement, regulators and other competent authorities, including by disclosing relevant information.

Our exercise, or non-exercise, of any right under this section does not waive any other right or remedy available to us under the Terms or at law.

8. Reporting abuse or concerns

We take misuse of the Service seriously. If you become aware of any actual or suspected breach of this Policy, or of any misuse of the Service or the Intelligence, please report it to us promptly at [abuse@klypse-uhnw.com].

A Principal, or any other third party, who has a concern about how information available through the Service may be being used, or who wishes to exercise rights or raise an objection, may contact us at [abuse@klypse-uhnw.com]. For general enquiries, please contact [hello@klypse-uhnw.com]. We will review concerns raised and respond as appropriate, including taking enforcement action under this Policy and the Terms where warranted.

9. Jurisdiction and other applicable laws

This Policy, and the Terms of which it forms part, are governed by the laws of England and Wales, and are subject to the governing-law and jurisdiction provisions of the Terms.

The Customer and each Authorised User must also comply with all laws applicable to their own activities and in their own jurisdiction, in addition to the laws of England and Wales. This includes, where relevant to an Authorised User's location or activities, applicable laws of other countries and applicable United States federal and state laws (including state privacy and anti-stalking laws). Where the requirements of an applicable law are stricter than this Policy, the stricter requirement applies.

10. Changes to this Policy

We may update this Policy from time to time, for example to reflect changes in the Service, in our practices, or in legal or regulatory requirements. When we make changes, we will revise the "Last updated" date above and make the current version available through the Service or by other reasonable means. Where required by the Terms or by applicable law, we will provide additional notice of material changes. Your continued use of the Service after a revised Policy takes effect constitutes acceptance of the updated Policy. If you do not agree to the updated Policy, you must stop using the Service.
